GENERAL CORPORATE ADVICE

Our general corporate advice includes:

• assisting on the formation of public and private limited companies, including advising on the choice of corporate form and establishment of holding structures and other corporate group structures
• advising on corporate governance issues, including governance structures, the duties and responsibilities of corporate boards and management, drafting and negotiating shareholders’ agreements, and general corporate compliance
• providing strategic counseling to boards of directors and executive boards on legal issues and risks facing their companies
• advising in relation to corporate reorganizations such as domestic and cross-border mergers and demergers, share exchanges, conversions of corporate form, and cross-border company migrations
• carrying out liquidations and dissolutions of companies, including acting as liquidator
• advising on corporate finance matters, including capital increases and reductions, share repurchases and redemptions, dividend distributions, provision of financial assistance, loan financing, and other capital structure issues

FOUNDATIONS

Our corporate team has broad experience on all matters of foundation law, including assisting on the formation, amalgamation, and dissolution of foundations and advising on foundation governance issues such as the duties and liability of board members and conflicts of interest. We also represent commercial foundations and their subsidiaries in connection with structural changes requiring regulatory permission, including divestments and mergers of material subsidiaries.
